ACCEPTANCE OF TERMS
By accessing or using ProDesk, the Neure website, mobile applications, software, APIs, integrations, or related services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these Terms, you must not access or use the Services.
These Terms constitute a legally binding agreement between you and Neure Innovations LLP ("Neure", "ProDesk", "we", "our", or "us").
ELIGIBILITY
You must be at least 18 years old and legally capable of entering into binding agreements to use the Services.
Mental health professionals creating accounts represent and warrant that they possess all licenses, registrations, certifications, permissions, and professional qualifications required under applicable law to provide their services.
SERVICES
ProDesk is a practice management platform designed for psychologists, therapists, counsellors, clinics, and mental health professionals.
The Services may include appointment management, client records, session notes, assessments, teleconsultation features, document storage, billing, payment collection, communication tools, reporting, artificial intelligence features, integrations, and other related services.
PROFESSIONAL RESPONSIBILITY
Mental health professionals remain solely responsible for:
• Clinical decisions
• Client care
• Treatment plans
• Session documentation
• Regulatory compliance
• Professional licensing requirements
• Record retention obligations
• Informed consent obligations
ProDesk functions solely as a technology platform.
Neure does not supervise, endorse, verify, guarantee, or assume responsibility for any professional services delivered by users of the platform.
CLIENT DATA AND CONFIDENTIALITY
Users may upload, create, process, store, and manage sensitive client information through the Services.
You represent that you have obtained all legally required rights, authorizations, consents, and permissions necessary to process such information using ProDesk.
You remain the controller and owner of your client records. Neure acts as a technology service provider processing such information on your behalf.
SECURITY
Neure implements commercially reasonable technical, administrative, and organizational safeguards designed to protect user data.
However, no internet-based service can guarantee absolute security.
Users are responsible for maintaining account confidentiality, strong passwords, device security, and access controls.
ARTIFICIAL INTELLIGENCE FEATURES
Certain features may utilize artificial intelligence technologies.
AI-generated outputs are provided for informational and productivity purposes only.
Users must independently review, verify, and validate all AI-generated content before relying upon it for clinical, legal, financial, or professional purposes.
Neure makes no representations regarding the accuracy, completeness, or reliability of AI-generated outputs.
SUBSCRIPTIONS AND FEES
Certain Services require payment of subscription fees.
Fees, billing cycles, free trial periods, renewals, taxes, refunds, and payment terms are governed by the applicable pricing plan displayed at the time of purchase.
Subscriptions may automatically renew unless cancelled before the applicable renewal date.
ACCEPTABLE USE
Users shall not:
• Violate any law or regulation
• Upload malicious code
• Attempt unauthorized access
• Reverse engineer the Services
• Use the Services for unlawful purposes
• Interfere with platform operations
• Misrepresent professional qualifications
INTELLECTUAL PROPERTY
All software, trademarks, logos, content, designs, interfaces, source code, documentation, and platform features remain the exclusive property of Neure Innovations LLP and its licensors.
No ownership rights are transferred to users.
THIRD-PARTY SERVICES
The Services may integrate with third-party products including payment providers, communication providers, cloud hosting providers, video platforms, analytics tools, and authentication services.
Neure is not responsible for third-party products or services.
AVAILABILITY
Neure does not guarantee uninterrupted or error-free operation.
Maintenance, upgrades, outages, third-party failures, or force majeure events may affect availability.
DISCLAIMERS
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEURE DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.
LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEURE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
IN NO EVENT SHALL NEURE'S TOTAL AGGREGATE LIABILITY EXCEED THE FEES PAID BY THE USER TO NEURE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
INDEMNIFICATION
Users agree to indemnify, defend, and hold harmless Neure, its officers, employees, affiliates, partners, and representatives from claims arising from:
• User conduct
• Clinical services
• Client disputes
• Data uploaded by users
• Violations of law
• Violations of these Terms
TERMINATION
Neure may suspend or terminate access at any time for violations of these Terms, legal requirements, security concerns, non-payment, or misuse of the Services.
GOVERNING LAW
These Terms shall be governed by the laws of India.
DISPUTE RESOLUTION
Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiations.
If unresolved, disputes shall be submitted to arbitration in Mumbai, Maharashtra, India in accordance with the Arbitration and Conciliation Act, 1996.
CHANGES TO TERMS
Neure may update these Terms from time to time.
Continued use of the Services following publication of updated Terms constitutes acceptance of such changes.
